Acceptance of the Terms and Conditions

These Terms and Conditions are entered into by and between you ("you" or "User") and Fanfluence, LLC (“Fanfluence,” "Company," "we," "our," or "us"). The following terms and conditions ("Terms and Conditions") govern your access to and use of www.fanfluence.com (the "Company Website") and, when applicable, our Fanfluence web application(s) and any other Company applications, websites, browser extensions, or plugins (collectively, the “Fanfluence Platform”), including any content, functionality, and services offered on or through the Fanfluence Platform, whether as a guest or a registered user.

Please read these Terms and Conditions carefully before you start to use the Fanfluence Platform. By using the Fanfluence Platform, or by clicking to accept or agree to these Terms and Conditions when this option is made available to you, you accept and agree to be bound and abide by these Terms and Conditions and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms and Conditions or the Privacy Policy, you must not access or use the Fanfluence Platform.

Fanfluence operates as a crowdfunding and event-funding platform designed to connect event promoters (“Promoters”) with fans (“Backers”) who support proposed live events by pledging funds toward a promoter’s funding goal. By accessing or using the Fanfluence Platform, you acknowledge and agree that Fanfluence facilitates interactions and transactions between Promoters and Backers but does not itself host, produce, or guarantee any events, nor act as an agent, broker, or fiduciary for any User.

Age Requirement

To use or access the Fanfluence Platform, you must be at least 18 years of age. Minors are not permitted to use the Fanfluence Platform under any circumstances. By accessing or using the Fanfluence Platform, you represent and warrant that you are at least 18 years old, have provided your full legal name and date of birth during registration, and possess the legal capacity to enter into a binding contract with the Company. Users under the age of 18 are strictly prohibited from registering, pledging funds, creating event listings, or otherwise participating in any activities on the Fanfluence Platform. The Company reserves the right to verify user age and identity at any time and may suspend or terminate accounts that are found to be in violation of this Age Requirement.

Changes to the Terms and Conditions

We may revise and update these Terms and Conditions from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Fanfluence Platform thereafter.

Your continued use of the Fanfluence Platform following the posting of revised Terms and Conditions means that you accept and agree to the changes. You are expected to check this page from time to time to be aware of any changes, as they are binding on you.

Our Mission

With Fanfluence, our Company provides the following:

• Fanfluence is an online crowdfunding platform where event promoters (“Promoters”) can post proposed live events that will only proceed if a set funding goal is successfully met. Fans (“Backers”) can pledge the amount set by the Promoter toward that goal. Once the funding target is reached, Backers automatically receive official tickets to the event. If the goal is not met, all pledges are automatically refunded in full.
• The Fanfluence Platform operates as a two-sided marketplace connecting Promoters and Backers. Promoters list and manage event campaigns, while Backers browse, fund, and engage with events in their local markets through their personalized dashboards.

Definitions

• Backers: Users of the Fanfluence Platform who pledge funds toward an event’s funding goal. Once the goal is reached, Backers receive official tickets to the live event.
• Promoters: Users who list proposed events on the Fanfluence Platform, set funding goals, and interact directly with Backers through event pages, polls, and community features.
• Event Campaign: A crowdfunding campaign created by a Promoter for a proposed live event, which proceeds only if its funding goal is successfully met.
• Funding Goal: The minimum amount of money that must be pledged by Backers for an Event Campaign to move forward.
• Pledge: The amount of money a Backer commits toward funding an event.
• Refund: The full return of a Backer’s pledge if the event’s funding goal is not met.
• Community Points: Engagement rewards accumulated by Backers for platform activity such as posting, commenting, and participating in polls, redeemable for discounts or rewards toward future events.
• Fanfluence Fee: The 10% service fee retained by the Company upon successful completion of an Event Campaign.
• Stripe: The Company’s designated third-party payment processor used to handle all transactions on the Fanfluence Platform.
• Platform Account: The personal profile created by each User (Backer or Promoter) that enables event participation, community engagement, and pledge tracking.

Workflow and Commercial Terms

Users may access the Fanfluence Platform through our web application, available via www.fanfluence.com or other Company-approved access points. The process for participating in event campaigns, pledging funds, and managing transactions is as follows:

• User creates or logs into an account on the Fanfluence Platform.
• Backers browse open Event Campaigns and select events to support by pledging a specified amount through Stripe, which includes a two-dollar processing fee per pledge.
• Promoters create and publish Event Campaigns, set funding goals, and monitor progress through their Promoter Dashboard.
• If a campaign reaches its funding goal, Fanfluence retains ten percent (10%) of the total raised as the Fanfluence Fee, and the remaining funds are transferred to the Promoter to confirm and produce the event.
• If the funding goal is not reached by the deadline, all pledged funds are automatically refunded in full to Backers.
• Backers receive confirmation emails for all pledges, and upon successful funding, receive digital tickets or confirmations granting entry to the event.

By submitting a pledge or creating an event campaign, you agree to be bound by these Terms and Conditions and to pay all applicable fees, including the $2 card processing fee per pledge. You acknowledge that all transactions are processed through Stripe and that Fanfluence does not store or process payment information directly. You are responsible for any applicable taxes on transactions made through the Platform.

We reserve the right to modify, suspend, or discontinue any portion of the Fanfluence Platform, to refuse or limit access to Users, or to cancel or restrict any Event Campaigns that violate our policies or applicable law.

Promoters: Promoters are responsible for accurately describing each Event Campaign, setting realistic funding goals, and delivering the event if funded. Fanfluence does not guarantee the success or quality of any event.

Backers: Backers acknowledge that pledging funds constitutes a conditional commitment that only converts to payment upon successful completion of the funding goal.

Promoter Obligations and Representations

Promoters represent and warrant that they have full authority to create, publish, and manage Event Campaigns, including the right to use and display the name, image, likeness, trademarks, promotional materials, venue information, artist information, or any other content associated with the proposed event. Promoters agree that all statements, descriptions, funding goals, dates, and representations made within an Event Campaign must be accurate, complete, and not misleading. Promoters further agree to comply with all applicable federal, state, and local laws governing live events, advertising, ticketing, consumer protection, and the financial obligations associated with hosting an event. Promoters acknowledge that funds released to them upon successful completion of an Event Campaign must be used solely to confirm and produce the event described in the Event Campaign. Promoters are responsible for communicating material updates to Backers, including changes in venue, artist availability, scheduling, or other matters affecting the event. Promoters agree to indemnify and hold harmless Fanfluence from any claims arising out of improper event execution, misrepresentation, lack of authority, or failure to fulfill event obligations.

Backer Acknowledgements and Assumption of Event Risk

Backers acknowledge that all live events involve inherent uncertainty and that Fanfluence is not responsible for the production, quality, safety, scheduling, or execution of any event. Backers understand that artists, venues, promoters, or third party operators may cancel, reschedule, or materially modify an event for reasons outside the Company’s control. Backers assume all risks associated with attending live events, including travel, weather conditions, venue issues, crowd conditions, personal injury, illness, or any other circumstances arising out of the event experience. Backers further acknowledge that Fanfluence is not responsible for verifying the authority of any Promoter, artist, or venue identified in an Event Campaign. Backers release Fanfluence from all liability arising from artist cancellations, promoter errors, venue disputes, event changes, or any failure of the event to meet expectations.

Event Cancellation and Post Funding Disruptions

If a successfully funded event is later canceled, postponed, or materially altered by the Promoter, venue, or artist, Fanfluence may, but is not obligated to, assist in facilitating communications between Promoters and Backers. Any refunds, rescheduling, or compensation relating to an event after funding has been completed are the responsibility of the Promoter. Fanfluence is not responsible for refunding Backers once funds have been transferred to the Promoter. Promoters agree that they are solely responsible for issuing refunds or alternative remedies if they cancel, change, or fail to deliver an event.

Artist and Venue Disclaimer

Fanfluence is not responsible for any commitments, representations, or agreements made by Promoters regarding artist participation, venue availability, production quality, or event logistics. Fanfluence does not verify artist identity, promoter authority, venue contracts, or the availability of talent. All representations regarding artists, performers, or venues are made solely by the Promoter. Users acknowledge that Fanfluence is not liable for artist cancellations, venue disputes, production issues, scheduling changes, or any failure of a third party to participate in or support the event.

Accessing the Fanfluence Platform, Profiles and Account Security

We reserve the right to suspend, modify, or withdraw access to the Fanfluence Platform or any portion of it at any time without prior notice, and we are not liable for any temporary or permanent unavailability. You are responsible for ensuring that you have the necessary hardware, software, and internet connection to access the Platform and for complying with these Terms at all times.

When creating an account, you agree to provide complete and accurate information during registration, including your full legal name, date of birth, and valid payment credentials, as governed by our Privacy Policy. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

In the event of unauthorized access or suspected security breaches, you must notify Fanfluence immediately at the contact email provided on the Platform once it becomes available. Fanfluence is not responsible for any losses resulting from unauthorized access caused by your failure to secure your credentials.

Exercise caution when accessing your account from public or shared computers and ensure that you log out after each session. While user profiles are designed to maintain privacy, certain information, such as usernames or event participation activity, may be visible to other Users, including during public interactions, comments, or community engagement features.

Intellectual Property Rights

The Fanfluence Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are the exclusive property of Fanfluence, its affiliates, licensors, or other authorized content providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms and Conditions authorize your personal, non-commercial use of the Fanfluence Platform, except where expressly intended for legitimate event-related or promotional activities conducted through the Platform. However, this authorization does not extend to any event listings, videos, promotional materials, or other files created or uploaded by Promoters or Backers as part of a campaign. Such content remains the property of the original creator, subject to the license granted to Fanfluence under these Terms.

Users, including Promoters and Backers, may engage in commercial activity through the Platform strictly within the scope of Fanfluence’s event funding and community features, provided all activity complies with these Terms and applicable law. Notwithstanding the foregoing, you must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Fanfluence Platform, except as follows:

• Your computer or other electronic device may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.
• You may print one copy of a reasonable number of pages of the Fanfluence Platform for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
• If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
• If we provide social media features with certain content, you may take such actions as are enabled by such features. Our social media integrations are made available by us, at our sole discretion, and may change from time-to-time.

You must not:

• Modify copies of any materials from this site.
• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.

You are restricted from:

• Modifying, copying, or republishing any materials from the Fanfluence Platform, except where explicitly authorized for Promoters to update or adapt their own event listings, promotional images, or campaign content created by them.
• Deleting, obscuring, or altering any copyright, trademark, or proprietary rights notices from materials on the Fanfluence Platform, unless expressly permitted for Promoters in connection with their own uploaded content used for event promotion.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Fanfluence Platform, Website, or related digital materials in breach of these Terms and Conditions, your license and right to access the Fanfluence Platform will terminate immediately. At our discretion, you may be required to return, delete, or permanently destroy any copies or derivative works of materials obtained from the Platform, including event listings, promotional content, or media files.

This restriction applies specifically to unauthorized promotional use or redistribution of Fanfluence content. Promoters may retain access only to their own uploaded materials and campaign assets that were lawfully created or published through the Platform. Backers and other users are prohibited from reproducing or distributing any event media, promotional materials, or user-generated content without prior written authorization from Fanfluence or the original rights holder.

No right, title, or interest in or to the Fanfluence Platform or any of its content is transferred to you, and the Company reserves all rights not expressly granted. Any use of the Fanfluence Platform not expressly permitted by these Terms and Conditions constitutes a material breach and may violate copyright, trademark, and other applicable laws.

Trademarks

The Company name, the brand Fanfluence, the Company logo, and all related names, logos, product and service names, designs, and slogans (“Brand Elements”) are trademarks of the Company or its affiliates or licensors. You must not use such Brand Elements without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the Fanfluence Platform are the trademarks of their respective owners.

Intellectual Property Rights Created Through the Fanfluence Platform

The Fanfluence Platform operates as a crowdfunding marketplace that connects Promoters and Backers to support live events. Any intellectual property created, uploaded, or shared through event campaigns, including videos, artwork, or promotional content, remains owned by the users who created it. Fanfluence does not acquire ownership or control of this material. Users grant Fanfluence a limited, non-exclusive license to display and use their content solely for operating, promoting, or improving the Platform. All rights not expressly granted remain with the users.

Prohibited Uses

You may use the Fanfluence Platform only for lawful purposes and in accordance with these Terms and Conditions. You agree not to use the Fanfluence Platform:

• In violation of any applicable federal, state, local, or international law or regulation, including laws governing data protection, online conduct, or export controls.
• To exploit, harm, or attempt to harm minors in any way, or to solicit or share personally identifiable information with them.
• To upload, post, or transmit any material that violates these Terms or the Content Standards.
• To send or facilitate any unsolicited advertising, spam, or promotional communications.
• To share personal or payment information through messaging features or to solicit users for activities outside the Platform.
• To engage in conduct that restricts or interferes with another user’s experience or that may harm Fanfluence or its users.

Additionally, you agree not to:

• Use the Fanfluence Platform in any way that could damage, disable, or impair its operation or interfere with another user’s experience.
• Use any automated tools, software, or scripts to access, copy, or monitor any part of the Platform without authorization.
• Use any manual process to copy or collect materials from the Platform without prior written consent.
• Introduce or attempt to introduce any viruses, malware, or harmful code.
• Attempt to gain unauthorized access to any systems, servers, or data connected to the Platform.
• Conduct or attempt any denial-of-service or other attack on thePlatform.
• Interfere in any way with the normal functionality or security of the Platform.

Fraud Prevention and Abuse Controls

Fanfluence may suspend, delay, or cancel any Event Campaign, pledge, payout, account, or community activity if it identifies or reasonably suspects fraud, identity manipulation, unauthorized account creation, artificial campaign inflation, unauthorized use of payment methods, or other conduct that may harm Users or the Platform. Fanfluence may require additional verification from Promoters or Backers, including identity documents, proof of artist involvement, venue confirmation, or other evidence necessary to validate the legitimacy of an Event Campaign. Fanfluence may withhold or reverse payouts associated with fraudulent or suspicious activity.

Interactive Tools and Community Engagement

The Fanfluence Platform includes interactive community tools such as polls, forums, message boards, direct messaging, comment features, and other engagement mechanisms that allow Promoters and Backers to communicate. Users acknowledge that posts, messages, or interactions shared within community spaces may be visible to other users. Users agree to interact respectfully and lawfully and to refrain from harassment, abuse, impersonation, solicitation, or any conduct intended to harm or mislead other users. Fanfluence does not monitor all user communications and is not responsible for user conduct. However, Fanfluence may review, remove, or restrict content or user activity when necessary to maintain a safe and lawful environment or when required to comply with legal obligations.

User Contributions

The Fanfluence Platform may include interactive features such as message boards, forums, profiles, and community tools (“Interactive Services”) that allow users to post or share content (“User Contributions”). You may participate by posting comments, reviews, photos, videos, event materials, or other creative content. Fanfluence may feature select user content, such as reviews or event highlights, only with prior consent and proper attribution. All User Contributions must comply with these Terms and the Content Standards. By submitting content, you grant Fanfluence and its affiliates a limited license to use, display, and distribute your content solely to operate, promote, and improve the Platform. User Contributions are considered non-confidential, and Fanfluence does not claim ownership over them. Fanfluence will not sell or share user content or data for marketing purposes and will access such content only when necessary to operate or maintain the Platform.

User Representations and Responsibility

You represent and warrant that you own or control all rights to your User Contributions and have the authority to grant Fanfluence and its affiliates the license described above. You also confirm that your content complies with these Terms and Conditions. You are solely responsible for your User Contributions, including their legality, reliability, accuracy, and appropriateness. Fanfluence is not responsible or liable to any third party for the content or accuracy of materials posted by you or any other user.

Monitoring and Enforcement; Termination

We have the right to:

• Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
• Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms and Conditions, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Fanfluence Platform or the public, or could create liability for the Company.
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including, without limitation, referral to law enforcement for any illegal or unauthorized use of the Fanfluence Platform.
• Terminate or suspend your access to all or part of the Fanfluence Platform for any or no reason, including, without limitation, any violation of these Terms and Conditions.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Fanfluence Platform. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we do not undertake to review material before it is posted on the Fanfluence Platform and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for the performance or nonperformance of the activities described in this section.

Suspension or Removal of Event Campaigns

Fanfluence may suspend, limit, or remove any Event Campaign at any time if the Company determines, in its sole discretion, that the campaign contains inaccurate information, violates these Terms, poses risk to Backers, lacks sufficient verification, or appears to involve fraud, misrepresentation, or unlawful conduct. Fanfluence may also pause or delay the release of funds to a Promoter until all requested information has been provided and verified. Fanfluence is not responsible for any losses, delays, or damages arising from the suspension or removal of an Event Campaign or the withholding of funds pending verification.

Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must, in their entirety, comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
• Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
• Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and Conditions and our Privacy Policy.
• Be likely to deceive any person.
• Promote any illegal activity, or advocate, promote, or assist any unlawful act.
• Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
• Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
• Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
• Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

Copyright Infringement

The Company responds to notices of alleged copyright infringement and terminates accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act.  If you believe that any material on the Fanfluence Platform infringes upon any copyright which you own or control, you may file a DMCA Notice of Alleged Infringement with the Company at our email address:

Please provide the following information:

• A description of the copyrighted work you believe to have been infringed;
• A description of the URL or other location on our Website of the material you believe to be infringing;
• Your name, mailing address, telephone number, and email address;
• A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• A statement by you, which you make under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf; and
• An electronic or physical signature of the person authorized to act on behalf of the copyright owner.

Confidentiality:

In the collaborative relationship on the Fanfluence Platform and related services, Promoters, Backers, and any other authorized participants acknowledge the need to share event information, campaign materials, financial details, and business communications while maintaining strict confidentiality. All parties agree to treat shared information as confidential and use it solely for event and campaign related purposes within the Platform, without disclosure to third parties unless expressly authorized in writing. Copying, reproducing, or distributing such information is prohibited without prior consent. This mutual obligation ensures a secure and professional environment for event funding and community interaction, fostering trust between participants and protecting all event, financial, and business information exchanged through the Fanfluence Platform.

Reliance on Information Posted

The information presented on or through the Fanfluence Platform is made available solely for general information purposes. We do not warrant this information's accuracy, completeness, or usefulness. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Fanfluence Platform, or by anyone who may be informed of any of its contents.

The Fanfluence Platform may include content provided by third parties, including materials provided by other users and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content other than the content provided by the Company, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the Company. We are not responsible or liable to you or any third party for the content or accuracy of any materials provided by any third parties.

Changes to the Fanfluence Platform

We may update the content on the Fanfluence Platform from time to time, but the content is not necessarily complete or up to date. Any of the material on the Fanfluence Platform may be out of date at any given time, and we are under no obligation to update such material.

Information About You and Your Visits to the Fanfluence Platform

All information collected through the Fanfluence Platform, mobile applications, or related services is governed by our Privacy Policy, which outlines how we collect, use, and protect user data. By using the Fanfluence Platform, you consent to our handling of your information in accordance with the Privacy Policy.

No fees for users: Access to the Fanfluence Platform is provided without membership or subscription fees. However, users remain responsible for the payment of any purchase amounts, service fees, or applicable taxes related to transactions conducted through the Platform.  

Products, Company Fees, Payment, Refunds, Tickets & Taxes

Products. Backers may pledge financial support toward proposed live events through the Fanfluence Platform. Pledges are collected securely through Stripe and are only finalized if the event reaches its funding goal. If the funding goal is reached, Backers automatically receive a ticket to the confirmed event. If the goal is not reached, all pledges are automatically refunded in full.  Promoters may create and manage event listings, set funding goals, post updates, interact with Backers through community features, and monitor progress through their Promoter Dashboard. When an event successfully meets its funding goal, the platform transfers the funds to the designated artist or event organizer minus the Company’s fee.

Company Fees. Fanfluence charges a ten percent platform fee on all successfully funded events. In addition, a two-dollar processing fee applies to each Backer pledge. No fees are charged if an event does not reach its funding goal. All Backer pledges are held securely by Stripe until an event is funded or refunded.

Subscription Services. If Fanfluence offers subscription-based features in the future, users authorizing a subscription agree to recurring charges until cancellation. Any subscription details, fees, and cancellation options will be provided in advance and managed through the user’s account dashboard.

Promotions. Fanfluence may offer promotional pricing or incentive codes. Promotions are not transferable, may not be applied retroactively, and may be withdrawn or modified at any time.

Payment Processing. Users must provide accurate billing information to Stripe or the Fanfluence Platform. By using Fanfluence, you authorize the Company and Stripe to process all charges related to pledges, fees, or subscription services through your designated payment method.

Refunds. Refunds for Backers occur automatically when an event does not reach its funding goal. Any additional refund requests are handled at the Company’s sole discretion and must be initiated through a support ticket. Promoters receive funds only for successfully funded events. Payout issues for Promoters must also be submitted through a support ticket.

Ticket Delivery. Tickets or confirmations for funded events may be delivered by the Promoter, the artist, a third-party ticketing provider, or other service designated by the event organizer. Fanfluence does not control the timing, format, or method of ticket delivery. Users acknowledge that Fanfluence is not responsible for delays, errors, or failures by third party ticketing providers and that any issues relating to ticket delivery must be addressed with the responsible Promoter or ticketing entity

Taxes. Promoters receiving funds through the Fanfluence Platform are solely responsible for determining, reporting, and paying all applicable taxes arising from event funding, including income taxes and any state or local obligations. Fanfluence may issue tax forms or government reporting documents when required by law, including Internal Revenue Service Form 1099 or similar documents. Users agree to provide accurate tax information upon request. Fanfluence does not provide tax advice, and Users should consult a qualified tax professional regarding their obligations

Community Points and Rewards Program

The Platform may allow users to earn Community Points for participating in activities such as posting content, engaging in polls, commenting on events, or completing other actions identified within the Platform. Community Points are provided solely as an engagement incentive and have no monetary value. Points cannot be exchanged for cash, transferred to other users, or redeemed outside of the Platform. Fanfluence may modify, suspend, or discontinue the Points Program at any time without notice, including altering the methods of earning points, the redemption options, or the availability of rewards. Fanfluence may revoke or adjust points or rewards if it identifies fraudulent activity, misuse of the Platform, improper voting or posting behavior, or any attempt to artificially manipulate the Points Program. Unused points may expire at times determined by Fanfluence.

Links from the Fanfluence Platform

If the Fanfluence Platform contains links to other sites and resources provided by third parties, including Stripe or any external payment related services, these links are provided for your convenience only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to the Fanfluence Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

Geographic Restrictions

The owner of the Fanfluence Platform is based in the State of Texas in the United States. We make reasonable commercial efforts to maintain compliance with the laws, rules, and regulations pertaining to all fifty states of the United States. However, we make no claims that the Fanfluence Platform or any of its contents are accessible or appropriate either inside or outside of the United States. Access to the Fanfluence Platform may not be legal by certain persons in certain states and countries. Fanfluence is currently intended for use within the United States and is expected to expand internationally in later phases, but no representation is made regarding international compliance at this time. When you access the Fanfluence Platform anywhere worldwide, you do so on your own initiative and are responsible for compliance with local laws.

International Use

The Fanfluence Platform is designed for use within the United States and does not presently comply with the data protection, consumer protection, or privacy laws of jurisdictions outside the United States, including the European Union, the United Kingdom, Canada, or other foreign jurisdictions. International users access the Platform at their own initiative and are responsible for compliance with all applicable local laws. Fanfluence does not represent that the Platform is appropriate or legally compliant outside of the United States and may restrict access from certain jurisdictions.

You understand that we cannot and do not guarantee or warrant that files available for download from the internet or the Fanfluence Platform will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output and for maintaining a means external to our site for any reconstruction of any lost data. Event Safety and Assumption of Personal Risk

Attendance at live events involves inherent risks, including personal injury, illness, property damage, or other harm resulting from crowd conditions, weather, transportation, venue conditions, or the conduct of third parties. By pledging to or attending any event associated with the Fanfluence Platform, you acknowledge and assume all risks associated with event attendance. Fanfluence does not inspect venues, supervise events, or provide security, medical services, or safety oversight. Fanfluence is not responsible for any injury, loss, or damage arising out of attendance at any event funded through the Platform.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms and Conditions or your use of the Fanfluence Platform, including, but not limited to, your User Contributions, any use of the Fanfluence Platform's content, services, and products other than as expressly authorized in these Terms and Conditions, or your use of any information obtained from the Fanfluence Platform.

Governing Law and Jurisdiction

All matters relating to the Fanfluence Platform and these Terms and Conditions, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Texas without giving effect to any choice or conflict of law provision or rule (whether of the State of Texas or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms and Conditions or the Fanfluence Platform shall be instituted exclusively in the federal courts of the United States or the courts of the State of Texas, in each case located in the City of Amarillo and Randall County. However, we retain the right to bring any suit, action, or proceeding against you for breach of these Terms and Conditions in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue in such courts.

Arbitration

At Company's sole discretion, it may require you to submit any disputes arising from these Terms and Conditions or use of the Fanfluence Platform, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Texas law.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS AND CONDITIONS OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

If any provision of these Terms and Conditions is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms and Conditions will continue in full force and effect.

Entire Agreement

The Terms and Conditions, the Privacy Policy, and, if applicable, any event related agreements or confidentiality agreements constitute the sole and entire agreement between you and Fanfluence, Inc. regarding the Fanfluence Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Fanfluence Platform.

Communications

You agree to receive communications from the Company, including communications sent by phone, email, text message, or other means of communication. If you provided a phone number to us, you are required to notify us when you cease to own or control that number to help prevent us from sending communications to others who may acquire that number. By using the Fanfluence Platform, you consent to receiving electronic communications relating to pledges, refunds, event updates, and account activity.
